Terms of Service

These Terms of Service ("Terms") govern your access to and use of Faidence Tutors (the "Service") operated by Faidence ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Faidence Tutors provides software to help independent tutors and tutoring organizations manage sessions, students, calendars, communications, billing, and Google Classroom integration. We provide the platform; tutors deliver the tutoring.

2. Accounts and Roles

To use the Service you must register an account and provide accurate information. The Service supports several roles: administrator, tutor administrator (tutoradmin), tutor, dependent tutor, parent, student, and dependent student. Access to features depends on your role. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

3. Tutors are Independent Contractors

Tutors and tutor administrators using the Service to deliver tutoring to their own students act as independent contractors, not employees or agents of Faidence. Faidence provides the software infrastructure; the tutoring relationship, including scope of instruction, quality, pricing to end students, and all associated obligations, is between the tutor and their student or the student's parent.

4. Credits and Billing

Faidence Tutors uses a dynamic credit-based billing model:

  • Tutors and tutor administrators are billed based on daily credit consumption. Consumption is a function of active managed users and follows the formula R(U) = 1.25 + 0.25/√U credits per active user per day, where U is the number of active users under your account.
  • Credits are purchased in packages. Credit package prices are shown at the time of purchase and are non-refundable except as required by applicable law.
  • If your credit balance runs low, you will receive email warnings. If credits are depleted, your account enters a read-only grace period during which you can recharge without data loss.
  • If the grace period ends without recharge, your account and any managed accounts become inactive until recharged. Inactive data is retained per the retention rules in our Privacy Policy.
  • Prices, package sizes, and the burn-rate formula may change; changes to existing balances will only apply prospectively.

5. Lead Marketplace

Lead Marketplace is an optional feature that connects tutors with parents/students who submit a tutoring request without an existing tutor relationship. It becomes available to a tutor's account only after a period of active use of the core Service, and can be turned on or off at any time.

  • No commission, ever. Faidence never takes a percentage of session revenue from a Lead Marketplace hire. Credits are charged only for the opportunity to connect with a request — never for merely having the feature turned on, and never based on what you subsequently earn.
  • Best effort, not a guarantee. We match tutors to requests based on fit and fairness, but we do not guarantee any specific number of leads, that a match will result in a hire, or that a request will be assigned within any particular time. Whether a delivered opportunity converts into a paying student is the tutor's responsibility.
  • Credits are charged for delivered engagement. A matched opportunity is charged once a genuine conversation occurs (or, for a Buy-It-Now purchase, immediately in full, since that purchase guarantees an exclusive window regardless of how the parent responds). Amounts are shown in-product and are set by us; we may adjust them prospectively.
  • Contact information stays on-platform until hired. Sharing email addresses, phone numbers, or other direct contact information in a Lead Marketplace conversation before a tutor is hired is prohibited. Messages are automatically screened, and a violation results in a credit penalty and a policy point on your account; do not attempt to circumvent this screening. Messages in an active, not-yet-hired conversation cannot be edited or deleted, to preserve an accurate record if a dispute arises.
  • Policy points and suspension. Accumulating policy points (from contact-sharing violations or confirmed abuse/harassment reports) triggers a warning at 7 points, a second warning at 9, and automatic suspension of your account at 10 points pending our review. We may adjust or clear points at our discretion.
  • Buy-It-Now exclusivity. A tutor may pay a one-time, non-refundable premium to obtain exclusive access to a specific request for a fixed period. During that window, other tutors are disconnected from the request. If no hire is confirmed by the end of the window, exclusivity ends automatically and the request returns to normal matching.
  • Administrative assignment. We reserve the right to manually assign, reassign, or close a Lead Marketplace request at our discretion, including to resolve disputes or support issues.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to violate the rights of any third party.
  • Attempt to reverse engineer, decompile, or bypass access controls in the Service.
  • Upload malicious code, spam, or content that infringes intellectual property or is harassing, abusive, defamatory, or otherwise objectionable.
  • Use automated means to scrape, harvest, or copy data from the Service beyond what is exposed to you via legitimate features.
  • Resell, sublicense, or make the Service available to third parties outside your own students/tutors without our written consent.

7. Google Workspace Integration

Some features rely on Google Calendar and Google Classroom. By connecting a Google account you authorize Faidence to use the scopes described in our Privacy Policy. Your use of Google services is also subject to Google's terms. You may revoke access at any time from your Google account permissions page.

8. Content and Ownership

You retain ownership of content you upload (student notes, session materials, messages). You grant Faidence a limited, non-exclusive license to host, store, transmit, and display that content solely as required to operate and provide the Service to you. Faidence retains all rights, title, and interest in the Service itself, including all software, designs, and branding.

9. Termination

You may stop using the Service and request deletion of your account at any time by emailing support@faidence.com. We may suspend or terminate accounts that violate these Terms, that carry unresolved billing issues, or where required by law. Sections that by their nature should survive termination (billing, IP, disclaimer, liability, dispute resolution) will survive.

10. Disclaimer

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Faidence does not guarantee that the Service will be uninterrupted, secure, or error-free, or that any specific tutoring outcome will be achieved.

11. Limitation of Liability

To the maximum extent permitted by law, Faidence and its affiliates, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Faidence from any claim, loss, or liability arising from your use of the Service, your content, your tutoring services delivered through the platform, or your violation of these Terms or applicable law.

13. Changes to the Terms

We may revise these Terms from time to time. If we make material changes we will notify you via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Faidence is registered, without regard to its conflict of laws principles. You and Faidence agree to attempt to resolve any dispute informally first by contacting support@faidence.com. Disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
